Terms and Conditions
	To be an authorized affiliate of LearnVisualStudio.NET, you agree to abide by the terms and conditions contained in this agreement.Please read this agreement carefully before registering and using LearnVisualStudio.NET as an affiliate. By signing up for the LearnVisualStudio.NET affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Important Note As an approved participant in the Affiliate Program, you are eligible to use (but not modify) approved advertising links, banners and logos, offered in our creative library. Publishers are not permitted to use any content or description pertaining to our products or program, apart from content provided by us, without prior written approval. The LearnVisualStudio.NET Affiliate Payout New affiliates will receive a $25 bonus credit/commission upon opening their account. LearnVisualStudio.NET has a minimum payout of $75. If the earned commission (not including bonus commissions) in an affiliate's account is less than $75 the balance will roll over to the following month or until the minimum payout balance is met. Affiliates are paid on a monthly basis via PayPal. We will schedule payment on or before the 10th day of each month. LearnVisualStudio.NET will pay affiliates via PayPal only. The affiliate must have a valid PayPal account to earn commission from the LearnVisualStudio.NET affiliate program. The $25 bonus credit/commission is not redeemable for cash and will not be paid to an affiliate upon termination of their affiliate account. The LearnVisualStudio.NET affiliate provides a tiered payout structure based on a percentage of the total sale. Currently, new affiliates will be paid 10% of the total sale, not including tax. LearnVisualStudio.NET reserves the right to set different pay rates and prices for specific affiliates. Additional payout levels are available and affiliates will be moved to the next payout level for every $250 in commissions earned. The payout level percentages are as follows: 10%, 12%, 15%, 18%, 20% and 25%. LearnVisualStudio.NET provides a 45 day cookie for all visitors sent to LearnVisualStudio.NET via affiliate links. LearnVisualStudio.NET Does Not Permit LearnVisualStudio.NET does not allow the affiliate to bid on any keyword found in the Restricted Keyword List in any paid search marketing campaign running on the Google PPC Network. The Google PPC Network includes the Google Content Network, Google Search or Google Search Partners. LearnVisualStudio.NET does not allow the use of the term LearnVisualStudio.NET to be used in ads running on the Google PPC Network. LearnVisualStudio.NET has strict anti-spam policies regarding internet programs and does not condone spam by affiliates. This includes, but is not limited to, spam via email, instant messaging, ICQ, chat rooms, message boards, or online forums. Unsolicited advertising in any form is not condoned by LearnVisualStudio.NET. Any affiliate found to be involved in any of these types of activities will be terminated and shall expect no affiliate payment compensation. Any affiliate whose site promotes or contains sexual, illegal or otherwise offensive content will have their accounts terminated immediately and shall expect no affiliate payment compensation. Sites that promote illegal activity, terrorism, anti-government activity or discrimination based on race, sex, religion, sexual orientation or physical disability are not permitted to participate in LearnVisualStudio.NET's affiliate program. Any affiliate who violates or infringes upon 3rd party copyright, trademark, patent, or any intellectual property rights will have their account terminated immediately, this includes, but is not limited, fraudulent activity against any other program. You may not purchase a subscription through your affiliate links for your own use. Such purchases may result (in our sole discretion) in the withholding of referral fees and/or the termination of this Agreement. LearnVisualStudio.NET Reserves the Right LearnVisualStudio.NET reserves the right to terminate any affiliate for any reason, including but not limited to, fraud or suspected fraud. Fraud includes, but is not limited to, the submission of unauthorized purchases, or providing unsolicited advertisements. LearnVisualStudio.NET reserves the right to modify the restricted keyword list at any time. Upon modification, all affiliates agree to remove all restricted keywords from their current paid search campaigns. Affiliates will not receive referral commissions from referred purchases which are refunded for any reason. All commissions are automatically pended for a period of 30 days at which time they will undergo a manual review. Any refunds, chargebacks or credits issued to the customer will result in a reversal of any affiliate commissions earned as part of that sale. LearnVisualStudio.NET reserves the right to change the terms and conditions of their affiliate program without prior notice, including the right to discontinue this program. In the event that LearnVisualStudio.NET discontinues its affiliate program, it will pay all affiliates the balance of their accounts. The $25 bonus credit is not redeemable for cash and will not be paid to an affiliate upon discontinuation. LearnVisualStudio.NET is not obligated in any way to reveal the reasons for termination of referred affiliates. The affiliate agrees to defend, indemnify, and hold harmless LearnVisualStudio.NET and its directors, officers, agents, and employees for any and all losses, costs, liabilities or expenses (including, without limitation, reasonable attorneys' and expert witnesses' fees) incurred or arising from: any breach of Affiliate's Covenants any user-generated content or any claims arising from the sale or license of goods or services promoted or made available through the campaign. LearnVisualStudio.NET's indemnity rights shall not be limited or offset by any contributory negligence by LearnVisualStudio.NET. LearnVisualStudio.NET may participate in the defense at its expense. From time to time LearnVisualStudio.NET may send e-mail to affiliates with regard to system updates, promotions, or offers. Affiliates agree to receive this e-mail by signing up for the LearnVisualStudio.NET Affiliate Program. What Is Required From The Affiliate? Affiliates are required to enter accurate account details on our signup form. Currently affiliates are required to have a PayPal account. The minimum age for participation is 18. LearnVisualStudio.NET's service is made available to you "AS IS" and "AS AVAILABLE", and LearnVisualStudio.NET makes no warranty as to its use or performance. The potential affiliate warrants that he or she has the legal capacity to enter into a binding contract, and, if appropriate, has the authority to bind his or her principal or employers to the agreement. Affiliates are required to complete required tax forms in order to receive commission payments. Information collected will be the minimum information necessary and required for legal and accounting purposes. Upon termination of an affiliate's account, the affiliate member must immediately cease using LearnVisualStudio.NET names and images and representations of LearnVisualStudio.NET thereof on their site. Affiliates who are part of the LearnVisualStudio.NET affiliate program are not an agent or employee of LearnVisualStudio.NET and are not authorized to act on behalf of LearnVisualStudio.NET. Restricted Keyword List The following keywords and their common misspellings may not be bid upon by any affiliate when placing ads for the Google PPC network including ads intended for the Google Content Network, Google Search and Google Search Partners. The restriction applies to Broad, Phrase or Exact match for the keywords listed below.
